This End User License Agreement (“Agreement”) is a legal agreement between you (“End User,” “you,” or “your”) and Your Peptide Brand, LLC (“Company,” “YPB,” “we,” “our,” or “us”), governing your access to and use of the services, software, and content provided through www.yourpeptidebrand.com and the application login at app.yourpeptidebrand.com (collectively, the “Platform”).

By accessing, installing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not use the Platform.

1. License Grant

YPB grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes, subject to the terms of this Agreement.

You may not:
    •    Reverse engineer, copy, modify, or distribute the Platform;
    •    Rent, lease, sublicense, or sell access to the Platform;
    •    Use the Platform for any unlawful purpose or in violation of applicable law;
    •    Attempt to bypass, disable, or interfere with any security features.

2. Membership & Subscriptions

Access to the Platform is provided on a subscription basis. By subscribing, you agree to pay all fees associated with your membership.
    •    Fees are billed monthly or annually as selected.
    •    All payments are non-refundable except as expressly stated in our [Refund Policy].
    •    Failure to pay fees may result in suspension or termination of access.

3. Third-Party Fulfillment

YPB does not sell, manufacture, or ship peptides or related products. Any purchases, fulfillment, or logistics are handled through independent third-party partners. YPB is not responsible for the quality, legality, or delivery of any products obtained through third parties.

4. Research Use Only

All materials, catalogs, and references provided through the Platform are for research purposes only. They are not intended for human consumption, medical treatment, or diagnostic use. End User agrees not to represent or use the Platform or related content for clinical, therapeutic, or consumer purposes.

5. Intellectual Property

All intellectual property rights in the Platform, including but not limited to software, design, logos, graphics, text, and databases, are owned by YPB or its licensors. This Agreement does not transfer any ownership rights.

6. User Content

If you upload or provide branding assets, labels, or other content (“User Content”), you represent and warrant that you have all necessary rights to such content. You grant YPB a limited license to use your User Content solely for providing the services.

7. Termination

YPB may suspend or terminate your license at any time if you:
    •    Breach this Agreement,
    •    Fail to pay applicable fees, or
    •    Engage in unlawful or harmful activities on the Platform.

Upon termination, your right to use the Platform will immediately cease.

8. Disclaimers & Limitation of Liability
    •    THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” YPB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
    •    TO THE MAXIMUM EXTENT PERMITTED BY LAW, YPB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

9. Indemnification

You agree to indemnify, defend, and hold harmless YPB, its officers, employees, affiliates, and partners from and against any claims, damages, liabilities, costs, or expenses arising out of your use of the Platform or violation of this Agreement.

10. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of [Insert State], without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in [Insert County, State].

11. Modifications

YPB reserves the right to update or modify this Agreement at any time. Changes will be posted on the Platform, and continued use constitutes acceptance of the updated Agreement.
